End User License Agreement (EULA) for xVal Technologies Ltd.

This End User License Agreement (the "Agreement") is a legal agreement between you (the "End User") and xVal Technologies Ltd. ("xVal") for the use of xVal's software and services (the "Software"). By installing, copying, or using the Software, the End User agrees to be bound by the terms and conditions of this Agreement.

License Grant

Subject to the terms and conditions of this Agreement, xVal grants the End User a non-exclusive, non-transferable, revocable license to use the Software for the End User's own internal business purposes.

Ownership and Intellectual Property Rights

The Software is owned by xVal and its licensors and is protected by copyright and other intellectual property laws. The End User acknowledges that all rights, title, and interest in and to the Software and any modifications, improvements, or derivative works thereof, are the exclusive property of xVal and its licensors. The End User agrees not to modify, reverse engineer, decompile, or disassemble the Software.

Restrictions on Use

The End User may not use the Software in any manner that violates applicable laws or regulations, infringes upon the rights of third parties, or interferes with the use and enjoyment of the Software by other End Users. The End User may not distribute, sublicense, rent, lease, or transfer the Software to any third party.

Termination

This Agreement shall remain in effect until terminated by either party. The End User may terminate this Agreement at any time by uninstalling the Software. xVal may terminate this Agreement immediately if the End User breaches any term or condition of this Agreement.

Disclaimer of Warranties

The Software is provided "as is" and xVal makes no representations or warranties of any kind, express or implied, regarding the Software or its use. xVal disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

Under no circumstances shall xVal be liable for any damages, including but not limited to, direct, indirect, incidental, special, or consequential damages arising from the use of the Software or inability to use the Software, even if xVal has been advised of the possibility of such damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Dubai International Financial Centre.

Entire Agreement

This Agreement constitutes the entire agreement between the End User and xVal regarding the use of the Software and supersedes all prior agreements or understandings, whether written or oral.

Amendments and Waivers

This Agreement may not be amended or waived except in writing signed by both parties.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment

The End User may not assign this Agreement or its rights or obligations hereunder without the prior written consent of xVal.

Notices

Any notices or other communications required or permitted hereunder shall be in writing and shall be deemed to have been given when delivered in person or by registered or certified mail, return receipt requested, postage prepaid, or by email to the addresses provided by the End User or xVal.

By clicking "I Agree" or by installing or using the Software, the End User agrees to be bound by the terms and conditions of this Agreement. If the End User does not agree to the terms and conditions of this Agreement, the End User must not install or use the Software, and should promptly uninstall and delete any copies of the Software in the End User's possession or control.
